Digital Exhibition Agreement

1. Acceptance of Terms & Scope of Agreement

Welcome to Unitas Agency (operated at https://unitas.agency, hereinafter referred to as "Unitas Agency", "Platform", "we", "us", or "our"). This Terms of Service Agreement ("Agreement") constitutes a legally binding contract between Unitas Agency and you—whether you are an individual browsing the gallery, an authorized representative of a business or product studio, a software creator submitting a digital creation for review, or an operator of an automated crawler or AI agent (hereinafter referred to as "Visitor", "Creator", "Submitting Entity", "Exhibitor", or "you").

By accessing, browsing, scraping, referencing via AI model context, submitting a creation to, or interacting with the Unitas Agency website, APIs, or data endpoints (including llms.txt and sitemap.xml), you unconditionally accept and agree to be bound by all terms, conditions, policies, and notices contained or referenced in this Agreement.

If you do not agree to all terms of this Agreement, you must immediately cease accessing and using the Platform.

2. Nature of the Service: Independent Digital Exhibition Platform

Unitas Agency operates exclusively as an Independent Digital Showcase, Curated Product Gallery, and Software Archive. The scope of Unitas Agency services encompasses:

• Curated Exhibition & Spotlighting: Presenting world-class digital creations, mobile apps, SaaS tools, AI engines, and enterprise architectures on an interactive digital stage (including our 3D interactive Armadillo showcase reel and catalog listings).
• Creator & Business Profiles: Archiving and indexing visionary product studios (e.g., Unitas Agency Internal Studio, Loona Brands) and providing direct hyperlink referrals to their official web properties.
• Product Submission Intake: Providing an editorial ingestion portal (/submit) where independent creators and software founders may nominate digital products for curation review.
• Automated Connectivity & Link Health Verification: Running internal background health checks to monitor the availability of external destination URLs featured within our gallery.
• AI Agent & Search Machine Readability: Distributing machine-parsable contextual documentation (/llms.txt, structured schema markups, and XML sitemaps) to facilitate accurate indexing by search engines and generative AI agents.

3. Independent Third-Party Creations & External Hyperlinks

Unitas Agency showcases and links to external, third-party software products, mobile applications, and web services (including, but not limited to, Spotwell, Yavay, PawSitter, Proprius, NoteFren, ViralNote, JitterCap, IPzest, and external partner platforms such as loonabrands.com).

Complete Disclaimer of Third-Party Liability:

• External Binaries & Downloads: All software binaries, iOS/Android application store downloads, web services, and user accounts associated with featured creations are developed, copyrighted, hosted, and operated exclusively by their respective independent creators. Unitas Agency exercises no technical control over third-party codebases, updates, server backends, or terms of service.
• Transactions & In-App Purchases: Any financial transaction, subscription, in-app purchase, or commercial agreement entered into between a Visitor and an external creator occurs entirely off-platform. Unitas Agency is not a party to such transactions and disclaims all liability for refund disputes, billing errors, or service interruptions incurred on external sites.
• Third-Party Data Practices & Privacy: Unitas Agency is not responsible for the privacy practices, tracking technologies, data collection, or security protocols deployed by external websites or applications linked from our showcase. Visitors are advised to review the individual terms and privacy policies of each external creation.
• Outbound Link Validity: While Unitas Agency performs automated periodic connectivity checks, we make no guarantee that external hyperlinks will remain functional, secure, malware-free, or continuously accessible.

4. Product Submissions, Curation Protocol & Editorial Discretion

When a Creator or representative nominates a product via the Unitas Agency submission portal (/submit) or through direct editorial outreach:

4.1 Unilateral Editorial Discretion

Unitas Agency retains absolute and unrestricted editorial discretion regarding:

• Whether to accept, decline, review, or defer any submitted creation;
• The visual presentation, categorization, placement hierarchy, and sort order (including positioning within the 3D Armadillo reel and showcase grids);
• The right to edit, summarize, or refine titles, descriptions, and taglines to adhere to Unitas Agency editorial style and readability standards;
• The right to temporarily delist or permanently remove any creation, business profile, or hyperlink at any time, for any reason, without notice, explanation, or liability.

4.2 Non-Exclusive Promotional License Grant

By submitting a creation, product name, screenshot, logo, demo video, or descriptive copy to Unitas Agency, the Submitting Entity grants Unitas Agency a perpetual, worldwide, non-exclusive, royalty-free, transferable license to reproduce, display, adapt, format, and distribute said materials across:

• The unitas.agency website and social channels;
• Public search engine feeds, sitemaps, and AI crawler contextual files (llms.txt);
• Marketing collateral, case studies, and showcase retrospectives highlighting featured products.

The Submitting Entity represents and warrants that it owns or possesses all necessary legal rights, permissions, and trademark clearances to submit the material and grant the aforementioned license.

5. Acceptable Use Policy (AUP) & Anti-Malware / Anti-Scam Shield

Unitas Agency enforces a strict zero-tolerance policy against deceptive, harmful, fraudulent, or abusive applications. The Platform exists to celebrate genuine software craftsmanship and legitimate commercial products.

Strictly Prohibited Creations & Activities:

• Deceptive Software & Technical Support Scams: Software designed to impersonate banks, governmental authorities, security vendors, or support helpdesks for the purpose of defrauding users.
• Malware, Spyware & Exploits: Applications distributing trojans, ransomware, rootkits, keyloggers, unauthorized cryptocurrency miners, or unconsented surveillance utilities.
• Phishing & Credential Harvesting: Landing pages or utilities designed to illicitly harvest authentication credentials, credit card details, or sensitive personal data.
• Infringing & Counterfeit Products: Cloned apps, pirated code repositories, unauthorized trademark uses, or products that willfully violate third-party intellectual property rights.
• Harmful, Defamatory, or Unlawful Content: Software promoting illicit substances, violence, harassment, discrimination, non-consensual imagery, or activities prohibited under applicable law.
• Infrastructure Disruption & DoS Attacks: Any automated attempt to flood, stress-test, scrape without authorization, bypass security controls, or disrupt the Unitas Agency web application, database, or API endpoints.

Immediate Delisting & Enforcement: Any creation found to violate this Acceptable Use Policy will be instantly delisted and permanently blacklisted. Unitas Agency reserves the right to report malicious operators, domains, and IP addresses to appropriate hosting providers, registrars, and law enforcement authorities.

6. Automated Connectivity Probing, AI Crawlers & Machine Indexing

6.1 Automated Connectivity Checks

Unitas Agency deploys an automated monitoring daemon that periodically probes active creations featured in our gallery (e.g., executing lightweight HTTP HEAD or GET requests every 3 hours) to verify hyperlink health and alert site administrators to failing endpoints.

• These probes are lightweight status checks designed to ensure gallery quality.
• Unitas Agency's connectivity monitoring does NOT constitute an enterprise SLA, guaranteed uptime monitoring service, or synthetic APM tool for the benefit of third-party creators.

6.2 AI Agents, Web Crawlers & Fair Scraping

Unitas Agency actively supports transparent indexing by legitimate search engine crawlers and artificial intelligence agent systems via public endpoints, including /llms.txt and /sitemap.xml.

• AI crawlers and automated bots must respect standard HTTP rate limits and directives declared in robots.txt.
• Excessive, aggressive, or abusive request volumes that degrade platform stability or increase hosting costs without prior authorization are strictly prohibited.

7. Financial Terms, Exhibition Model & Absence of Paid Placement

7.1 Independent Curation Model

Except where explicitly stated in a separate, written enterprise agreement:

• Exhibition on Unitas Agency is conducted on an editorial and merit-driven basis.
• Unitas Agency does not conduct pay-to-play auctions where rankings, spotlight slots, or 3D reel positions are sold to the highest bidder.
• Submission of a creation does not incur a mandatory submission fee unless a priority review or premium verification tier is explicitly opted into by the Creator.

7.2 Future Premium Features & Services

Should Unitas Agency introduce optional fee-based services (such as Priority Expedited Review, Verified Creator Badges, or Deep-Dive Architectural Audits):

• All applicable fees will be clearly disclosed prior to transaction completion.
• Fees paid for editorial review services are for the review time and evaluation process itself, and do NOT guarantee acceptance, positive review, or indefinite listing within the gallery.
• All completed evaluation and priority processing fees are non-refundable once editorial review has commenced.

8. Intellectual Property, Trademarks & Non-Endorsement

8.1 Unitas Agency Proprietary IP

All code, user interface designs, dynamic 3D Armadillo showcase reel mechanisms, CSS stylesheets, layout algorithms, SVG assets, branding elements, editorial compilations, and database schemas powering unitas.agency are the proprietary intellectual property of Unitas Agency. All rights are reserved. You may not copy, reverse-engineer, mirror, or repackage platform design elements without express prior written consent.

8.2 Third-Party Trademarks & Ownership

• Product names, logos, app icons, and screenshots displayed on Unitas Agency belong exclusively to their respective owners and copyright holders.
• RustDesk is an open-source software project maintained by Purslane Tech Pte. Ltd.
• Apple, App Store, iOS, macOS, watchOS, SwiftUI are registered trademarks of Apple Inc.
• Google Play, Android are trademarks of Google LLC.
• Loona Brands and its associated product marks belong to Loona Brands.
• Mention or exhibition of any third-party company, trademark, or application on Unitas Agency does not constitute or imply an official endorsement, sponsorship, partnership, or affiliation by the trademark holder, unless explicitly noted.

9. Disclaimer of Warranties ("AS IS" & "AS AVAILABLE")

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL UNITAS AGENCY, ITS FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, OR INFRASTRUCTURE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION:

• LOSS OF PROFITS, SALES, BUSINESS OPPORTUNITIES, REVENUE, OR GOODWILL;
• LOSS, CORRUPTION, OR EXPOSURE OF DATA;
• BUSINESS INTERRUPTION, SERVER DOWNTIME, OR COMPUTER SYSTEM FAILURE;
• DAMAGES RESULTING FROM VISITING, DOWNLOADING, INSTALLING, SUBSCRIBING TO, OR RELYING UPON ANY THIRD-PARTY APPLICATION OR CREATION FEATURED ON THE PLATFORM;
• ANY CONDUCT, DEFAMATORY STATEMENTS, OR BREACH OF CONTRACT BY THIRD-PARTY CREATORS OR EXHIBITORS.

11. Indemnification & Hold Harmless

You agree to defend, indemnify, and hold harmless Unitas Agency, its officers, directors, members, contractors, and agents from and against any and all claims, liabilities, losses, damages, judgments, awards, fines, penalties, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

1. Your violation or breach of any term or condition of this Agreement or our Acceptable Use Policy;
2. Any product, software application, website, content, screenshot, logo, or material that you submit to Unitas Agency;
3. Any claim that a creation submitted or operated by you infringes or misappropriates any copyright, trademark, patent, trade secret, privacy right, or publicity right of any third party;
4. Any consumer dispute, regulatory penalty, or legal action arising from the operation or performance of your software creation.

12. Notice and Procedure for Making Claims of Copyright Infringement (DMCA Notice)

Unitas Agency respects the intellectual property rights of creators and adheres to the safe harbor provisions of the Digital Millennium Copyright Act (17 U.S.C. § 512, "DMCA").

If you believe in good faith that any content, screenshot, logo, or creation exhibited on Unitas Agency infringes upon your copyrighted work, you or your authorized agent may transmit a formal DMCA Takedown Notice to our Designated Copyright Agent at dmca@unitas.agency.

Required Elements of a Valid DMCA Notice:

1. A physical or electronic signature of the person authorized to act on behalf of the owner of the copyrighted work;
2. Clear identification of the copyrighted work claimed to have been infringed;
3. Identification of the specific material on unitas.agency that is claimed to be infringing, including the exact URL(s);
4. Your contact information (full legal name, mailing address, telephone number, and email address);
5. A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
6. A statement, made under penalty of perjury, that the information in the notification is accurate, and that you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.

Upon receipt of a valid and complete DMCA notice, Unitas Agency will expeditiously review the claim and, where appropriate, remove or disable access to the infringing material.

13. Dispute Resolution, Governing Law & Class Action Waiver

13.1 Governing Law & Venue

This Agreement and any dispute, controversy, or claim arising out of or relating to it, its interpretation, or the use of the Platform shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to conflict of law principles. Any legal proceeding that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and all parties consent to the personal jurisdiction and venue of such courts.

13.2 Mandatory Individual Arbitration

At the election of either party, any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved by final and binding individual arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in the English language in Miami-Dade County, Florida (or virtually by mutual consent).

14. Modifications, Severability & Entire Agreement

14.1 Modifications to Agreement

Unitas Agency reserves the right to modify, amend, or replace this Agreement at any time. When material updates are made, we will update the "Last Updated" date at the top of this document and post a notification on the Platform. Your continued use of Unitas Agency following the posting of modifications constitutes your acceptance of the revised Terms.

14.2 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

14.3 Entire Agreement

This Agreement, together with our Privacy Policy and any submission confirmation terms, constitutes the entire legal agreement between you and Unitas Agency regarding the use and exhibition of products on unitas.agency.
